Mr. and Mrs. Sawchuk are in their early 70s and wanting to retire. For twenty-five years, the Sawchuks have operated a Ukrainian deli in Parksville on Vancouver Island. While business tends to be seasonal, they have always done well enough to support their modest lifestyle and raise three children. In December 2019, Ms. Granger, who recently moved to Nanaimo from Ontario, approached the Sawchuks about potentially buying the business. Over the course of two months, the Sawchuks and Granger discussed the potential deal. € In January 2020 the Sawchuks provided Granger with the financial information for the business that had been prepared by their accountant. It all looked good to Granger and showed a yearly profit of about $65,000. Sometime in December 2019, Granger had asked Mr. Sawchuk about foot traffic from the beach nearby. Mr. Sawchuk said, “there is quite a lot. I'm not sure exactly how many people per day from the beach come through. Around 50 probably and more in the summer.” Granger intended to use the deli location to sell her hand-made beach attire created using ethical fabric. She thought the location would be perfect and a clothing kiosk would fit inside the deli. Who doesn't want a sandwich and a beach cover? She mentioned to the Sawchuks that she operates the beach attire business, but never told them she wanted to sell the merchandise in the deli. The Sawchuks and Granger reached an agreement in March 2020. To save money, neither side hired a lawyer or agent to help with the deal. Granger wrote up the contract using an online template. Everyone signed, payment was made, and the business transferred on April 1, 2020. Through May and June, even though the deli business was going well, Granger became concerned about the foot traffic from the beach. She was there during most hours and counted only about 15 customers per day that seemed to be coming from the breach. She sold no beach attire. Most customers came from the small office building across the street and the golf course 2 km away. She thought about approaching the Sawchuks to see if they would consider undoing the deal but wanted to wait until the summer months when tourists come through town. By the end of August, it was clear that very few beachgoers came to the deli. Granger had only sold five pieces of clothing. She called the Sawchuks and asked if they would consider undoing the deal, but they declined. They were enjoying retirement." In October 2020, Granger decided to contact a lawyer. She was upset that Mr. Sawchuk had told her 50 people from the beach a day came into the deli. She told the lawyer she wants or compensation from the Sawchuks.
