A buyer for Target offers to buy $100,000 worth of Christmas
decorations from a supplier for delivery by Nov. 15th. The supplier
responds "I accept your offer and agree to deliver them by December
15th." Target instead buys them from a different supplier who can
deliver by Nov. 15th. The first supplier ships them for delivery by
December 15th and sues to be paid. Target will win because the
first supplier's response was a counteroffer, not a valid
acceptance, and Target did not accept the counteroffer.
