Moulton Cavity & Mold Inc, which is a German Company, agreedto manufacture twenty-six innersole molds to be purchased byLyn-Flex, an American Company. Moulton delivered the twenty- sixmolds to Lyn-Flex after Lyn-Flex allegedly approved the samplemolds. However, Lyn-Flex rejected the molds, claiming that themolds did not satisfy the specifications exactly, and denied thatit had ever approved the sample molds. Moulton then sued, contending that Lyn-Flex wrongfully rejected the molds. Lyn-Flex,argued that the perfect tender rule permitted its rejection of theimperfect molds, regardless of Moulton's substantial performance.Decision? Who wins and why?
