I agree with your definition, and Ultra Vires has been along-standing defense against the bad acts of corporate officers.But why is it so controversial? How would Ultra Vires work incontext of White Collar Crime? Give an example of a real-life casewhere it wouldn't matter. Give an example of a real-life case whereit most certainly would matter.
